These Terms of Service (“Terms”) govern your access to and use of the websites joinphnx.com, phnxhotels.com, and any related services, content, features, functionality, or technologies provided by PHNX, operated by FYRE Holdings, Inc. (“PHNX,” “we,” “us,” or “our”) (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms. If you do not agree, do not use the Service.

We may update these Terms at any time, with updates indicated by the “Last Updated” date. Your continued use means you accept the updated Terms.

2. About PHNX – Marketplace for Buying & Selling Views

PHNX is a digital marketplace where brands, creators, and individuals can buy and sell online views for marketing content, campaigns, and other media.

• Facilitation Only: PHNX provides the platform but is not a party to any transaction between buyers and sellers of views.
  
• No Guarantees: PHNX does not guarantee the performance, outcomes, authenticity, or quantity of views purchased or sold.
  
• Third-Party Data: Metrics and analytics tools provided by PHNX are for informational purposes only and may differ from reporting on third-party platforms.
  
• User Compliance: All buyers and sellers must comply with applicable laws, including advertising, consumer protection, and intellectual property laws.
  

3. Digital Asset Disclosure – Not a Contract, Holding, or Security

The symbol “$PHNX” and any associated digital tokens (“$PHNX Tokens”) are intended solely as an expression of support for, and engagement with, the ideals and concepts embodied by the PHNX brand and related artwork.

• $PHNX Tokens are NOT:
  
  
  • an investment opportunity;
    
  • an investment contract;
    
  • a security of any kind;
    
  • a debt, equity, or ownership interest in PHNX, FYRE Holdings, Inc., or any affiliate.
    

By acquiring $PHNX Tokens, you expressly acknowledge and agree:

• You acquire no rights to ownership, control, voting, or management of any entity.
  
• $PHNX Tokens are not available to persons or entities in restricted jurisdictions.
  
• Digital assets are inherently risky and may result in complete loss of value.
  
• Nothing on our sites or Services constitutes financial, legal, or investment advice.
  

4. User Responsibilities

When participating in the PHNX marketplace, you agree:

• To provide accurate account information and keep it updated.
  
• To only sell views that are legitimate, lawful, and not generated by fraudulent or automated means (e.g., bots, click farms).
  
• Not to buy or promote content that is unlawful, infringing, hateful, pornographic, or otherwise prohibited under these Terms.
  
• To comply with all applicable laws and platform rules when creating or distributing content.
  

5. Transactions & Payments

• Payment Processing: All transactions are processed through third-party payment processors. PHNX does not hold funds in escrow.
  
• Disputes: Disputes between buyers and sellers should be resolved directly. PHNX may, at its discretion, assist in resolving disputes but is not obligated to do so.
  
• Fees: PHNX may charge service or transaction fees, disclosed prior to payment.
  

6. Privacy and Cookies

Your privacy is important to us. Our Privacy Policy and Cookie Policy describe how we collect, use, and share your information. By using the Service, you consent to those practices.

7. Intellectual Property

All content, trademarks, and other intellectual property in the Service are owned by PHNX, FYRE Holdings, Inc., or our licensors. You may not use them without our prior written consent, except as expressly permitted in these Terms.

8. Prohibited Conduct

You agree not to:

• Violate any applicable laws or third-party rights;
  
• Engage in fraudulent or misleading activities, including generating artificial views;
  
• Upload unlawful, infringing, or prohibited content;
  
• Circumvent security measures or abuse the platform.
  

9. Disclaimers & Limitation of Liability

The Service and all content are provided “as is” without warranties of any kind. PHNX is not responsible for:

• The quality, authenticity, or results of views purchased or sold;
  
• The accuracy of third-party metrics;
  
• Any loss of profits, data, or goodwill.
  

Our maximum liability to you will not exceed $100 or the amount you paid to PHNX in the past 6 months, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless PHNX, FYRE Holdings, Inc., and their affiliates from any claims or damages arising from your use of the Service, including violations of these Terms.

11. Arbitration Agreement

All disputes will be resolved through binding arbitration on an individual basis. You waive the right to participate in class actions.

12. Termination

We may suspend or terminate your access to the Service at any time for any reason, without liability.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
